Job Overview:

The Prime Contract/Commercial Manager is an active member in the Project Leadership Team, managing commercial, financial, and contractual requirements and seeks to minimize liability exposure and maximize project profitability.

Key Responsibilities/Accountabilities:
  • Responsible for administering the commercial, legal, and financial aspects of prime contracts. Works with Business Development, Legal and other corporate and functional groups to ensure comprehensive input.
  • Develops and administers change orders, claims and the dispute resolution process both related to our Client contract as well as subcontracts, procurement, insurance claims, etc.
  • Coordinates with the legal group to ensure that the company liabilities and legal/contractual obligations are defined, communicated, executed and correctly reported.
Pre Award
  • Review ITB (Invitation to Bid) documents in conjunction with other applicable corporate and functional departments and obtain concurrence with their respective section/obligations contained in the prime contract.
  • Ensure that the appropriate department or corporate lead has provided guidance such that the submitted proposals/tenders fully address all commercial / legal / taxation / dispute resolution, insurance, etc. issues.
  • Ensure there is a clearly defined commercial execution strategy for all submitted proposals/tenders.
  • Support Business Development in identifying and mitigating risks involved with commercial terms, conditions, contract structure, and pricing.
  • Identify, in conjunction with the legal group, the obligations in the prime contract that are either obligatory flow downs or those that my provide a benefit or protection to CB&I and advise Subcontracts and Procurement Managers.
  • Ensure, in conjunction with the legal group, that the obligations, liabilities and cash flow in the Prime Contract flow down to procurement and subcontract enquiry and contractual templates, appropriate with the scopes.
  • Review concerns provided by the legal department particular to working in new territories / locations or with new clients and agree strategies with the proposal / tender team.
  • Interface with Business Development, Legal, Tax, Insurance, and Finance Departments to identify and mitigate risks involved with commercial terms, conditions, contract structure, and pricing.
  • Participate in management approval meetings (Gate 2 and Gate 3) to ensure compliance with corporate governance and provide an understanding of commercial aspects of our bid.
  • Participate in negotiation of proposal for award and review contract for acceptability prior to execution.
  • Compile a comprehensive and chronological package of precontract communication for handover to the execution team.
  • Ensure that the legal group has provided a comprehensive summary of the critical aspects of the Contract.
  • Identify areas of risk and opportunities and assist in developing a project risk mitigation plan.
Post Award
  • Work with the Project Director/Manager and Project Team to set strategy, manage and direct the commercial operation of Projects from award through successful commercial closeout.
  • Serve as point of contact on all contractual matters between company employees and Clients, ensuring timely submission, review, and approval/reconciliation of variations and formal correspondence between CB&I and Client.
  • Support the Project Director/Manager with contract change control and claims management including timely Client notification, assistance in preparation of the change order request, client follow up and negotiation, and review and approval of Client change orders.
  • Ensure, immediately post-award, that all key personnel are aware of all relevant commercial, technical, and contract execution information by conducting Contractl Awareness Training as applicable.
  • Establish and maintain effective relationships with external Clients and/or JV partners
  • Interface with project team to help ensure compliance with all government regulations, such as work permits, residency permits and tax compliance in host countries.
  • Support Procurement and Subcontracts in the final preparation of flow down provisions.
  • Participate in key meetings with Clients in which decisions and agreements may have a contractual and/or commercial impact.
  • Ensure that all contractual obligations, deliverables and exposures are managed in a timely and appropriate manner.
  • Support and participate in the project risk management process.
  • Participate in any subcontractor or supplier claims and ensure that they are passed through to Clients when appropriate.
  • Identify contractual warranty obligations and ensure written notice of warranty commencement is issued in a timely manner. Assign appropriate personnel to manage warranty claim.
  • Maintain contractual records and documentation.
  • Manage and where appropriate defend back charges from the client
  • Ensure effective contract close-out, extension and/or renewal.
Desired/Preferred Qualifications:
  • Typically degreed (Engineering/Business/Legal) or equivalent work experience, with 10 years of project prime contract management experience
  • Possesses comprehensive understanding of project operations on mega (>$1bn) EPC projects as well as JVs
  • Client side and international assignment experience preferred
  • Available for relocation and project assignment
