Overview
A leading international law firm is seeking an experienced Associate to join its Asset Management & Private Funds group. The team advises asset managers and investment funds on the structuring, establishment, and operation of a wide variety of private fund vehicles, both closed-ended and open-ended, across a broad range of alternative investment strategies. The work also covers associated regulatory and compliance matters impacting both funds and their managers.
In addition, the practice has a strong investor-side capability, advising institutional investors — including sovereign wealth funds, pension funds, and other large-scale investors — on commitments to funds, bespoke co-investment structures, and related legal and regulatory considerations. The group operates on a cross-border basis, working closely with colleagues and clients in multiple jurisdictions on international asset management matters.
Key Responsibilities
- Draft, review, and negotiate fund documentation such as private placement memoranda, limited partnership agreements, and constitutional documents
- Prepare and advise on investment management agreements, depositary agreements, brokerage/clearing agreements, and similar contracts
- Advise on key asset management regulatory frameworks, including AIFMD and MiFID, developing deep regulatory expertise in support of client needs
- Combine transactional and advisory work across a wide variety of UK and international clients
- Manage client relationships, ensuring projects are delivered efficiently and to a high standard
- Contribute to business development activities and knowledge sharing within the team
