Responsibilities
- Draft and review corporate and entity formation documents, consents, bylaws, operating agreements and minutes.
- Manage registered agent services for clients and monitor annual report filings.
- Manage all filings with the various secretaries of states for new entities, annual reports, fictitious name, tradenames, amendments etc.
- Support closings by coordinating diligence, checklists, and filings. Prepare basic documents for closings using standard forms.
-Support signature process on closings and create online closing binders for clients and the firm. 
- Manage deal data rooms and ensure that all documents are also in firm files. 
- Order documentation from Secretary of State as needed for closing and arrange for lien searches. 
- Assist with real estate and M&A transactions, including contract review.
- Prepare engagement letters, client binders, and document packages for estate and tax planning matters.
- Assist admin with calls and emails as needed.
- Organize client asset and tax information; support drafting of wills, trusts, and elections.
- Open new matters, assemble packets, draft follow-ups, and provide client-facing paralegal support.
- Maintain/organize documents in NetDocuments DMS and client trackers; generate weekly status reports.
- Recommend process improvements for efficiency and client experience.

Qualifications
- 3–5+ years of law firm experience, ideally in corporate M&A/transactional or estate planning.
- Technologically experienced with Microsoft 365 (Excel, Word Powerpoint), Adobe Pro, cloud applications, document management system (we use NetDocuments), emerging AI applications, etc.  
- Individuals who consider themselves "bad with technology" please do not apply for this position.
- Strong attention to detail, organizational skills, and client-service .
- Ability to work independently and handle multiple matters simultaneously.

Compensation and benefits dependent upon work location (remote or in the office) and time commitment (part time versus full time).  We will consider various different scenarios ranging from part-time remote work to full time work from the office.  All scenarios dependent upon the experience and professionalism of the candidate.
