Corporate Risk and Contracts Manager

JOB SUMMARY:

The Risk and Contracts Manager is responsible for identifying and mitigating potential financial and liability risks associated with the Company’s activities and affairs as well as prepare and review business contracts that legally bind the Company.

CONTRACTS MANAGER DUTIES & RESPONSIBIITIES:

  • Responsible for leading the efforts associated with the contract lifecycle management for professional services, consultant, and supplier Contracts.
  • Review, draft, revise form agreements and non-standard agreements, negotiate contracts, monitor contract performance and compliance, recommend improvements of the contract process, and ensure contract accuracy.
  • Ensures compliance of all existing contracts, including geographic regulatory compliance risks that are specific to different states, or legal jurisdictions and perform extensive research, statistical reporting, and analysis.
  • Apply formal, best practice methodologies to develop and implement contract strategies to support the business development and professional service process.
  • Work with internal and external clients, carefully obtain the requirements needed for each contract and prepare statistical analysis for Contract Review by committee.
  • Communicate regularly with stakeholders and manage workflow of all contract stages and key contract dates.
  • Receive and prepare responses for contractual bids and proposals from vendor organizations for the purchase of equipment, products, or services.
  • Negotiate contracts and escalate complex legal and factual issues to attorneys and assist in resolution.
  • Prepare metrics on Contract Operations for reporting to management.
  • Lead special contract-related projects as necessary and other duties as assigned.

RISK MANAGER DUTIES & RESPONSIBIITIES:

  • Knowledge of professional liability, errors and omissions, general liability, employer practices, worker’s compensation, property, and vehicle insurance.
  • Manages the Company’s business and statutory benefit insurance program ensuring coverage is adequate for the level of risk associated with business activities.
  • Responsible for managing and directing the Company’s consultant compliance and onboarding functions, including consultant vetting process and consultant insurance compliance in alignment with the Company’s Policies and Procedures for the purpose of minimizing exposure to risk.
  • Performing due diligence (vetting) on potential consultant and vendors and drawing a conclusion after careful examination of the facts and information gathered.
  • Maintenance of a centralized file, documentation and retention system for all contract-related material and insurance policies, contracts, amendments, and riders.
  • Reviews and establishes consultant/vendor payable agreements and works with the accounting team to establish vendor/consultant System profiles.
  • Obtaining of insurance certificates from vendor or broker as required by contractual terms and monitors expirations dates.
  • Consults with internal management team on a scheduled periodic basis on Consultant Performance and reports concerns to stakeholders to reduce risk.

Oversee and Manage Risk Management:

  • Including QA/QC Department.
  • Individual project proposal review.
  • Client provided master agreement reviews.
  • Develop and provide annual update of our standard client agreement based on changing variables.
  • Continuous communication with company attorney.
  • Manage all lawsuits, E&O claims and all potential client/project issues related to potential risk issues.
  • Continuous improvement of sub-consultant on-boarding, review and approve all sub-consultant applications. Annual review of sub-consultant agreement, modify as required based on new known variables.
  • Manage all company insurance policies including renewals. E&O, BOP, Auto, Umbrella, Business Liability, workers comp, Crime and Fidelity, Cyber Risk, and Employers Liability.
  • Staff training for risk management awareness.

REQUIREMENTS:

  • 8+ years of contracts negotiation experience (financial or professional services/ vendor contracts ).
  • Bachelor’s degree required, preferably in business law or business administration.
  • Strong communication skills including contract legal skills.
  • An understanding of business insurance.
  • An understanding of property management.
  • Experience with CRM and online collaboration tools.
  • Experience with Microsoft Office (Word, Excel, and PowerPoint).
  • Excellent verbal and written communications skills.
  • Outstanding writing, editing, and proofreading skills.
  • Excellent planning, project management skills, strategic research, compelling writing, and process ownership.
  • Collaboration and team skills balanced with being a productive individual contributor.
  • Ability to manage multiple complex tasks simultaneously and meet deadlines.
  • Highly organized and self-motivated.
  • Flexible and highly reliable.
