General Counsel (Real Estate Development, Construction, HOA)

Job Duties
- Monitor legal risks in development documentation, permits, contracts, strategic decision
making and provide guidance on acceptable risk taking.
- Interpret and explain including but not limited to: required law, regulations, permits, contract
terms etc. for business activities by demand of company.
- Conduct legal research into emerging business implementation and activity issues and gather
evidence in the direction of protecting the company's legal interests.
- Ensure that appropriate approvals are obtained from authorities at all levels.
- Explain the law and provide legal advice on issues that arise.
- Identify legal issues and risks in the course of business operations.
- Draft, review and form official letters to government authorities.
- Draw up trust, assignment, contracts and other deeds required in the course of business.
- Draw up contracts relating to development, including but not limited to contractor agreement,
inspection agreement, construction cooperation agreements with authorities and so on.
- Negotiate with other legal, natural persons and officials as directed by the company.
- Identify legal risks in financial planning of future transactions and already concluded
transactions.
- Analyze and anticipate in Homeowners Association (HOA) formation procedures in the State
of California, explaining problem areas and risks regarding the formation of a management
company.
- Prepare establishment documentation for Homeowners Association (HOA) in the State of
California, including but not limited to CCRs, Rules and Regulations, Bylaws, Articles of
Incorporation / Association.
- Provide summary reports on the progress of information surveyed when requested by the
Company.
Qualifications
- Excellent communication skills, both verbal and written
- 3 years experience working with HOA's
- Skills of persuasion and negotiation
- Strong time management and organizational skills
- Detail-oriented
- Strong computer skills and competency
- Professional attitude and strong personal ethics
- Minimum 5 years’ experience in a law firm environment
- Juris Doctor (JD) degree required
- Valid license to practice law in the state where the job is located.
- Member of the state bar in good standing.
