Job Description

  • To provide corporate governance legal services to Total Petrochemicals & Refining USA, Inc. (TPRI) and its Subsidiaries and Total Holdings USA, Inc. ("THUSA") and its subsidiaries.


  • Responsible for creating and maintaining corporate records for approximately 52 affiliated entities.
  • Provide US corporate legal assistance in transactional matters effecting the reorganization, acquisition or divestiture of companies.
  • Manage corporate governance matters and maintain the corporate history for TPRI, THUSA and certain other affiliated companies not within those company chains.
  • Prepare the corporate legal documents to effect the formation, merger or conversion, reorganization, acquisition, divestiture or liquidation of companies.
  • Perform corporate secretarial duties for TPRI and its subsidiaries and THUSA and its subsidiaries: maintain corporate minute books, prepare corporate organization charts, prepare corporate summaries and other corporate records, prepare stockholder and Board of Director resolutions.
  • Manage compliance reporting required to maintain legal existence.
  • Perform internet and legal research, as requested.
  • Maintain and encourage positive team dynamics through a strong and constructive work ethic.
  • Special projects as assigned.
  • Work with other members of the legal Department
  • Interface with the Treasury Department, Tax Department, Human Resources and Risk and Insurance groups on finance, Tax and legal issues.
  • Assist various departments with the preparation of reports for filing with various states and federal agencies

Profile sought

  • Bachelors degree (strongly perferred)
  • Paralegal certificate from ABA approved school preferred
  • 5+ years of related experience with a law firm or corporate legal department
  • Excellent communication skills, ability to muti-task, strong organizational and interpersonal skills.
  • Proficient knowledge of Word, Excel and PowerPoint
  • Restricted by International Traffic in Arms Regulations (ITAR) at 22 C.F.R. 120.15 and Export Administration Regulations (EAR) at 15 C.F.R. Part 772, only U.S. persons (defined to mean U.S. citizens, lawful permanent residents under 8 U.S.C. 1101(a)(20), and protected individuals under 8 U.S.C. 1324b(a)(3)) are permitted access to controlled articles and technology without authorization from the State Department's Directorate of Defense Trade Controls (DDTC) and the Commerce Department's Bureau Industry and Security (BIS).
