Xcel Energy is hiring an Assistant Corporate Secretary for the team in Minneapolis, Minnesota. The team is responsible for corporate governance activities related to Board of Directors meetings, Shareholders meetings, compliance and regulatory filings for various federal and state laws, record retention requirements, etc. Come join this dynamic team as we work together to balance the interests of various stakeholders.
Supports Corporate Secretary and other Xcel Energy officers in providing service to Board of Directors and maintaining compliance.

Essential Responsibilities
  • Manages and supervises preparation of Board of Directors and Shareholders Meetings for parent and all subsidiary companies; prepares and distributes board meeting notices, agendas, resolutions and meeting minutes.
  • Assist with compliance and other corporate policy training to key employees; monitor and ensure compliance with insider policy requirements.
  • Monitor and ensure compliance with federal and state securities laws, including Secretary of State filings.
  • Prepare and file notices of dividend declaration; prepare and file listing applications and amendments; act as liaison with NYSE.
  • Establish and maintain corporate governance database; respond to shareholder requests.
  • Assist with various corporate debt and other equity financing transactions; prepare schedules and organization checklists for transactions.

  • Bachelor's degree in a related field
  • 5 years experience in assistant corporate secretary function or related paralegal experience
  • Proficient in the use of Microsoft Office
  • Strong organizational and interpersonal skills
  • Exceptional written and verbal communication skills
  • Strong attention to detail and follow through
  • Sensitive to protocols

  • Experience in proxy statement preparation
  • Experience utiliizing an electronic entity management database
